Whereas Article VIII of the WGA bylaws states: “The Board will be solely responsible for the bylaws of the WGA. The Board may adopt, amend, or repeal the bylaws only after a minimum of seventy-two (72) hours of advance notice (providing the specific contents of the proposed action) is given to each Board member. This seventy-two (72) hour advanced notice may be waived if the entire Board is convened. The Board may then approve any proposed bylaw change with a two-thirds vote.”
Whereas the WGA held a referendum on this topic last year, known as Referendum 08-4 – WGA Bylaws Change Process.
Whereas 55 (44%) of the members participating in the referendum chose this option: “Yes. I want to be notified of potential bylaws changes before they are voted on by the Board but DO NOT want to vote on them. A “comment period” should be mandated in which members could voice their opinions about the proposed changes, but the final approval for bylaws changes should be still be granted by a vote of the Board of Directors.”
Therefore, be it resolved that the paragraph on bylaw changes in the bylaws be amended to read:
The Board will be solely responsible for the bylaws of the WGA. The Board may adopt, amend, or repeal the bylaws only after a minimum of seven days of advance notice (providing the specific contents of the proposed action) is given to each Board member and made available to all WGA members. All proposed bylaw modifications will be published in the WGA forums, and allow for a seven day comment period prior to the Board of Directors voting on the modification. The Board may then approve any proposed bylaw change with a two-thirds vote
02/23/2009 at 7:01 pm #1902586I can’t envision any instance where there might be an emergency change needed. But, it might be a good idea to discuss if such a circumstance could ever exist. I wold hate to see the BOD not be able to act on something because of this change.
02/27/2009 at 2:28 am #1902587Update on this proposal. It was discussed at the board meeting last Sunday, and we decided to wait the 7 days to start voting on it. Voting on it should start tommorrow.
