      When a new Board of Director is elected, they have immediate access to the entire content of the WGA website. There is approximately 2 weeks between the close of elections and the annual BODs meeting.

      During this 2 week period, there is an overlap of Board of Directors ability to vote on Resolutions. The BOD has discussed amending the By Laws so that a new BODs term BEGINS at the annual meeting held by the 9 elected Directors. The start of elected terms was not sufficiently clarified in our By Laws.

      Here is the proposed amendment presented to the General Membership of the Wisconsin Geocaching Association. After 7 days, the WGA BODs will vote on the amendment, after any input posted here by the WGA members.

      Here is the current wording on Article IV:

      Article IV: Board of Directors

      The management and administration of the affairs of the WGA shall be governed by a Board of Directors consisting of nine (9) members: four (4) officers and five (5) Members-at-Large.

      Terms: A Board Member’s term in office shall be two years. Terms will be arranged so that approximately half of the Board positions will be up for election each year. Board Members may be re-elected. Individuals elected to fill vacancies will serve the remainder of the standard term of office.

      Wording change for Terms to: A Board Member’s term in office shall be two years, WITH THE NEWLY ELECTED BOARD MEMBERS TERM TO BEGIN AT THE ANNUAL BOARD MEETING HELD FOLLOWING THE ELECTION. NEW BOARD MEMBERS WILL HAVE IMMEDIATE ACCESS TO RESTRICTED AREAS OF THE WGA WEBSITE UPON ELECTION BUT SHOULD REFRAIN FROM RESOLUTION VOTES UNTIL THE START OF THEIR TERM AT THE ANNUAL BOARD MEETING.       The sentence in capital letters is the proposed change/addition to the TERMS area of Article IV.

      If there is no objection by the membership, the proposed amendment change will be put to a vote.

      Just wondering if “term in office shall be two years” shoud be adjusted to account for slight differences in the annual board meeting date.

      Suggestion: “term in office shall be two years to coincide with the date of the annual board meeting” or something similarly creative to account for the fact it’s not always an exact date.
